This statement is made pursuant to Section 54 of the Modern Slavery Act 2015 of the United Kingdom for the financial year ending December 31, 2025. This statement applies to Butterfly Network, Inc. and its wholly owned subsidiaries.
Butterfly is a medical device manufacturer/health technology company based in the United States. The Company created the world's first handheld, single probe whole-body ultrasound system using semiconductor technology, the Butterfly iQ+. Butterfly's mission is to democratize medical imaging and contribute to the aspiration of global health equity, making high-quality ultrasound affordable, easy-to-use, globally accessible, and intelligently connected.
Butterfly’s supply chains include the sourcing of raw materials, including semiconductor components, the purchase of third-party products and the use of distribution networks related to the manufacture of its products. We communicate our expectations regarding compliance with applicable laws, including those relating to modern slavery and human trafficking, to suppliers through our third-party agreements. As part of our supplier due diligence, we assess potential risks within our supply chain and seek assurances from key suppliers regarding their own anti-slavery and human trafficking practices.
Butterfly recognizes that certain parts of its supply chain may carry a higher risk of modern slavery. We periodically consider factors such as the geographic location of suppliers and the nature of the goods or services provided when assessing these risks. Where potential concerns are identified, we may engage with suppliers to understand their practices.
Our Code of Business Conduct and Ethics (the “Code”) was adopted to promote ethical conduct and compliance with applicable laws, rules and regulations, including those relating to modern slavery and human trafficking. The Code prohibits the use of forced, bonded, or compulsory labor and any form of human trafficking across our operations and supply chain. All employees are encouraged to report violations of the Code, including any concerns regarding modern slavery, to the Corporate Compliance Officer, the chairperson of the Audit Committee of the Board of Directors or to the Company’s Whistleblower Compliance Hotline. Reports may be made anonymously without fear of retaliation.
Butterfly provides training to employees involved in supply chain management and procurement to raise awareness of the risks of modern slavery and human trafficking and to enable identification of potential indicators. We periodically evaluate our policies, procedures, and supply chain due diligence processes to further our commitment to preventing slavery and human trafficking in our business activities and supply chain. Butterfly will assess the effectiveness of these measures on an ongoing basis and report on progress in future statements.
